10.2 Jurisdiction
In the event of litigation, and in the absence of amicable resolution, the courts of Ottawa shall have exclusive jurisdiction.

These terms and conditions constitute the entire agreement between the parties and supersede all prior agreements.
11.2 Partial invalidity
If any provision of these terms and conditions is found to be invalid, the remaining provisions shall remain in full force and effect.

Failure to exercise any right hereunder shall not constitute a waiver of such right.
